Affiliate Terms

These Affiliate Terms and Conditions (the "Terms") govern participation in the MakeTradingWork affiliate programme (the "Programme"). By applying to, being accepted into, or participating in the Programme, you (the "Affiliate", "you" or "your") agree to be legally bound by these Terms.

1. Company Details

MakeTradingWork is a trading name of TradeTech Group Limited, a private limited company registered in England and Wales (Company Number: 16190965), with its registered office at 5 Brayford Square, London, England, E1 0SG ("TradeTech", "we", "us" or "our").

2. Purpose of the Programme

The Programme allows Affiliates to earn commissions by referring new customers to MakeTradingWork products and services using unique referral codes or other approved tracking methods provided by us.

3. Eligibility and Acceptance

3.1 Participation in the Programme is subject to our approval at our sole discretion. We reserve the right to accept or reject any application without providing reasons.

3.2 You confirm that you are at least 18 years old and have the legal capacity to enter into binding contracts.

3.3 You participate in the Programme as an independent contractor. Nothing in these Terms creates any partnership, joint venture, agency, employment, or fiduciary relationship between you and us.

4. Affiliate Obligations

4.1 You agree to promote MakeTradingWork in a lawful, ethical, and professional manner.

4.2 You must not:

• Make false, misleading, or unsubstantiated claims about our products, services, results, or potential earnings;
• Represent yourself as an employee, partner, or official representative of TradeTech;
• Engage in spam, unsolicited communications, or any form of aggressive, deceptive, or unethical marketing;
• Infringe any intellectual property rights, data protection laws, advertising regulations, or other applicable laws or regulations.

4.3 You are solely responsible for ensuring that your promotional activities comply with all applicable laws, regulations, and industry guidelines in all relevant jurisdictions.

5. Commission Structure

5.1 Affiliates will earn a one-time commission for each qualifying customer referral that results in a completed purchase of an eligible MakeTradingWork product.

5.2 The commission amounts payable per qualifying referral are as follows (all amounts in USD):

• Starter Monthly: $30
• Starter Quarterly: $60
• Pro Monthly: $50
• Pro Quarterly: $100
• Mastery: $150

5.3 Commissions are payable only on the initial purchase made by a referred customer. No recurring, residual, or lifetime commissions are payable unless expressly agreed in writing by us.

5.4 No commission shall be payable where:

• The referral cannot be properly tracked;
• The customer requests a refund, chargeback, or payment reversal;
• We reasonably determine that the referral resulted from fraudulent, abusive, or prohibited activity.

6. Reporting and Payments

6.1 Each calendar month, we will provide a report detailing the total commissions earned by each Affiliate during the applicable period, expressed in USD.

6.2 Commission payments will be made monthly in arrears and paid to the bank account details provided by the Affiliate.

6.3 Affiliates are solely responsible for ensuring that their payment details are accurate and up to date. We are not liable for delays, errors, or losses resulting from incorrect or incomplete payment information.

6.4 All bank fees, currency conversion charges, taxes, and other costs associated with receiving commission payments are the sole responsibility of the Affiliate.

7. Taxes

7.1 Affiliates are solely responsible for determining, reporting, and paying any and all taxes, duties, levies, or other governmental charges arising from commissions earned under the Programme.

7.2 We reserve the right to request tax-related information or documentation where required by law.

8. Intellectual Property

8.1 We grant you a limited, non-exclusive, non-transferable, revocable licence to use our approved marketing materials solely for the purpose of participating in the Programme.

8.2 All intellectual property rights in MakeTradingWork, TradeTech, and all related brands, content, systems, and materials remain our sole property.

8.3 You must immediately cease use of all our intellectual property upon termination of your participation in the Programme.

9. Confidentiality

You agree to keep confidential any non-public, proprietary, or commercially sensitive information disclosed to you in connection with the Programme and not to use such information for any purpose other than participation in the Programme.

10. Term and Termination

10.1 These Terms commence on the date you are accepted into the Programme and continue until terminated.

10.2 We may suspend or terminate your participation immediately, with or without notice, at our sole discretion, including where we reasonably believe you have breached these Terms.

10.3 Upon termination:

• All rights granted to you under these Terms shall immediately cease;
• Any unpaid commissions associated with fraudulent, abusive, or non-compliant activity shall be forfeited;
• Clauses which by their nature should survive termination shall continue to apply.

11. Limitation of Liability

11.1 To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, consequential, special, or punitive losses or damages, including loss of profits, revenue, data, or business opportunity.

11.2 Our total aggregate liability arising out of or in connection with the Programme or these Terms shall not exceed the total commissions actually paid to you in the twelve (12) months preceding the event giving rise to the claim.

12. Indemnity

You agree to indemnify, defend, and hold harmless TradeTech Group Limited, its directors, officers, employees, and agents from and against any claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or in connection with your participation in the Programme, your promotional activities, or any breach of these Terms.

13. Amendments

We reserve the right to amend, modify, or replace these Terms at any time. Updated Terms will be effective upon publication or notification. Continued participation in the Programme constitutes acceptance of the revised Terms.

14. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction.

15. Entire Agreement

These Terms constitute the entire agreement between you and us in relation to the Programme and supersede all prior or contemporaneous agreements, understandings, or representations.
